These terms and conditions govern the supply of goods and services by Indiott, The Industrial IoT Specialists, to its customers. They apply to all quotations, orders, and contracts unless we agree otherwise in writing. By requesting a quotation or placing an order, you confirm that you accept these terms.
In these terms, we, us, and Indiott mean Indiott, a trading name of PSI Technologies Limited, a company registered in England and Wales whose registered office is at Units 10-11 Stratfield Park, Elettra Avenue, Waterlooville, Hampshire, PO7 7XN, company registration number 03689664, VAT number GB 730 2340 83. You and the customer mean the business that requests a quotation or places an order.
Indiott supplies on a business-to-business basis. Our catalogue, pricing, and terms are directed at businesses, and by placing an order you confirm that you are acting in the course of a business, trade, or profession and not as a consumer. If you are not a business customer, please contact us before ordering.
Whether a buyer is a consumer is a question of fact and cannot be altered by agreement. If you are in fact a consumer, the statutory rights that apply to consumer contracts apply to your order notwithstanding this clause, and your right to cancel a distance contract is set out in the Consumer Cancellations section of our Shipping and Returns policy. Except to the extent those rights apply, these terms govern the sale in full.
You can request a quotation or a bill of materials through the quote form at /quote/. We aim to respond to quote requests within one working day. A quotation is an invitation to do business and is not a binding offer of sale. Unless the quotation states otherwise:
When you place an order with us, whether in response to a quotation or otherwise, that order is an offer to buy on these terms. No contract comes into existence until we accept your order. We accept orders by issuing a written order acknowledgement or an invoice, or by dispatching the goods, whichever happens first. We may decline an order, for example where goods are unavailable, where a pricing or description error has occurred, or where agreed payment terms cannot be met.
The price of the goods is the price set out in our quotation or order acknowledgement, exclusive of VAT. VAT is charged at the rate in force on the date of the invoice. Unless we have agreed credit terms with you in writing, payment is due before dispatch. Where we have granted trade credit, payment is due within the agreed period, and where no period is agreed, within 30 days of the date of invoice. Time for payment is of the essence. If you do not pay on time we may suspend further supply, charge interest and reasonable recovery costs on overdue amounts as permitted by the Late Payment of Commercial Debts (Interest) Act 1998, and withhold goods until payment is received.
Delivery arrangements, lead times, and carriage are set out in our Shipping and Returns policy and in your quotation or order acknowledgement. Any delivery dates we give are estimates given in good faith and are not guaranteed. We are not liable for delays caused by manufacturers, couriers, or other matters outside our reasonable control. Where goods are supplied against a lead time or to order, dispatch follows receipt of stock from the manufacturer.
Risk in the goods passes to you on delivery. Title to the goods does not pass to you until we have received payment in full of all amounts due in respect of those goods and any other goods we have supplied to you. Until title passes, you must store the goods so that they remain identifiable as our property, and we may recover them if payment is overdue.
The hardware we supply is covered by the warranty offered by its manufacturer, and the manufacturer’s warranty terms, period, and conditions apply. Typical industrial IoT hardware carries a manufacturer warranty against defects in materials and workmanship for a defined period from the date of supply; the exact period and terms vary by brand and product. We pass through the benefit of these manufacturer warranties to you and will assist with valid warranty claims, including handling returns to the manufacturer where required. Warranties do not cover faults caused by incorrect installation, misuse, modification, unsuitable operating conditions, fair wear and tear, or use outside the manufacturer’s published specifications. Where we provide bespoke engineered solutions, any additional warranty for that work will be set out in the relevant quotation or statement of work.
You should inspect goods on delivery and notify us of any visible damage, shortage, or incorrect supply promptly, and of any other defect within a reasonable period of discovering it. Where goods are confirmed to be faulty or supplied in error, we will, at our option and in line with the manufacturer’s process, repair, replace, or credit the goods. The process for faulty, dead-on-arrival, and unwanted goods, including how to obtain a return authorisation, is set out in our Shipping and Returns policy.
Nothing in these terms limits or excludes our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence or for fraud. Subject to that:
You are responsible for satisfying yourself that the goods are suitable for your intended application. Any technical guidance we provide is given in good faith but does not relieve you of that responsibility.
All trademarks, brand names, and product designations belong to their respective owners and are used only to identify the goods we supply. The content of this website, including its text, layout, and graphics, belongs to Indiott or its licensors and may not be reproduced without permission. Where we supply bespoke engineered work, ownership of any intellectual property created is dealt with in the relevant quotation or agreement.
These terms and any contract formed under them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
